Breathe is an online startup discovery and networking platform designed to help founders, startups, investors, and other users discover and connect with one another.
Unless expressly stated otherwise, Breathe does not itself provide investment, financial, legal, accounting, or tax advice.
You must be legally capable of entering into a binding agreement to use Breathe. Certain investor-related features may be subject to additional eligibility, verification, geographic, or regulatory requirements.
You are responsible for maintaining accurate account information and protecting the confidentiality of your login credentials.
You are responsible for activity occurring through your account unless such activity results from circumstances for which you are not legally responsible.
Founders are responsible for ensuring that information they submit about themselves, their companies, business performance, fundraising goals, products, services, team members, and opportunities is truthful, accurate, current, and not misleading.
Breathe does not guarantee the accuracy, completeness, legality, valuation, financial condition, or future performance of any startup listed on the platform.
Investors and prospective investors are responsible for conducting their own research and due diligence before making financial, investment, contractual, or business decisions.
Information presented through Breathe should not be considered a recommendation or endorsement of any startup, founder, security, transaction, or investment opportunity.
Breathe does not guarantee that a founder will receive funding or that an investor will identify or complete any investment opportunity.
You may not use Breathe to:
You retain ownership of content you submit to Breathe. By submitting content, you grant Breathe the rights reasonably necessary to host, store, reproduce, display, distribute, and otherwise use that content for operating and promoting the service.
You represent that you have the rights necessary to submit any content you provide.
Breathe's name, branding, software, website design, original content, graphics, and related materials are protected by applicable intellectual property laws.
These Terms do not grant you ownership of Breathe's intellectual property.
Breathe may use or link to third-party services. We are not responsible for third-party websites, products, services, representations, or privacy practices.
We may restrict, suspend, or terminate access to Breathe when reasonably necessary to enforce these Terms, protect users, prevent fraud or abuse, comply with law, or protect the integrity of the platform.
We may modify, suspend, discontinue, or introduce features at any time. We do not guarantee uninterrupted or error-free availability of Breathe.
To the extent permitted by law, Breathe is provided on an "as is" and "as available" basis without warranties of any kind, whether express or implied.
To the fullest extent permitted by applicable law, Breathe and its owners, affiliates, employees, and service providers will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages arising from your use of the service.
We may modify these Terms from time to time. Continued use of Breathe following the effective date of updated Terms constitutes acceptance where permitted by applicable law.
The governing-law and dispute-resolution provisions applicable to Breathe will be finalized based on Breathe's legal entity formation and principal place of business.
